This Agreement is between you ("you") and sub.earth ("we," "us") and governs your use of the sub.earth website and the Chonkify software, including any updates, presets, and documentation (collectively, the "Software"). Contact: support@sub.earth.
By purchasing, downloading, installing, or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.
The Software is licensed to you, not sold. Subject to this Agreement, we grant you a personal, named, non-exclusive license to install and use the Software on the number of computers permitted by your license key, for your own personal and commercial music production. One license is for one person, and you own the music you make with it. The license is granted in perpetuity — it does not expire — but may be revoked if you breach this Agreement (see Termination).
You may use the Software to create music for personal and commercial purposes, and you own the music you make with it. You may not: resell, rent, lease, sublicense, lend, or redistribute the Software or your license key; share, publish, or distribute your license key; reverse-engineer, decompile, disassemble, modify, or create derivative works of the Software; or defeat, bypass, or tamper with the licensing or activation system. You may not use the Software on a server, or for automated, multi-user, or batch processing (for example, an online mastering service), without our prior written permission. Sharing or abusing a key may result in revocation.
You may transfer your license to another person by contacting support@sub.earth. On transfer, your own access to the Software ends and the recipient becomes the licensee. Free or "Not For Resale" (NFR) copies may not be transferred.
The Software validates your license with our server to activate and to confirm your license remains valid. To do this it sends your license key and a non-personal machine identifier. You can review and remove your active machines at any time using the license-manager link in your purchase email. See our Privacy Policy for details on data handling.
Updates within your purchased major version are provided free of charge. We may add, change, or discontinue features over time. We endeavour not to break your existing projects but do not guarantee it.
The Software and all intellectual property rights in it, including the Chonkify and sub.earth names and branding, remain our property and that of our licensors. This Agreement licenses the Software to you; it does not transfer ownership.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Software will be uninterrupted, error-free, or compatible with your system or host. You use it at your own risk and should keep backups of your work.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROJECTS, PROFITS, OR GOODWILL ARISING FROM YOUR USE OF THE SOFTWARE. OUR TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.
Purchases are subject to our Refund Policy.
This license terminates automatically if you breach this Agreement. On termination you must stop using and delete all copies of the Software. Sections that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will survive.
This Agreement is governed by the laws of the United States, without regard to its conflict-of-laws rules. Nothing in this Agreement limits any mandatory consumer rights you may have under the laws of your place of residence.
If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force and effect.
This Agreement, together with our Privacy Policy and Refund Policy, is the entire agreement between you and us regarding the Software and supersedes any prior understandings.
We may update this Agreement from time to time; the "last updated" date above will change. Continued use of the Software after an update constitutes acceptance of the revised terms.
